MANCHESTER TYPE END USER LICENSE AGREEMENT (EULA)
IMPORTANT – READ CAREFULLY: This End User License Agreement (“Agreement”) is a legal agreement between you (“You” or “End User”) and Manchester Type, the owner and licensor of the font software and associated documentation (“Font Software”). By purchasing, installing, or using the Font Software, you agree to be bound by the terms of this Agreement. Depending on the license type purchased, your rights to use the Font Software may differ. Please read this Agreement carefully and ensure that you are using the Font Software in accordance with your specific license.
1. GENERAL LICENSE TERMS
Unless otherwise specified in your invoice or license certificate, all licenses are: Non-exclusive, non-transferable, and non-sublicensable; Valid for the usage type(s) and scope (e.g., number of users, domains, pageviews, app installations) defined at the time of purchase; Granted for use by you or your organization only, for the purpose of creating content, designs, and/or applications.
2. LICENSE TYPES
2.1 DESKTOP LICENSE
A Desktop License allows you to install the Font Software on a specific number of computers (as defined in your purchase agreement) for use in: Graphic design, print materials, and logos; Static images for websites and social media (e.g., JPGs, PNGs); Exporting content to non-editable file formats (e.g., PDF, EPS) provided the fonts are embedded securely. Prohibited Uses: Web embedding, app embedding, ePub embedding, and video/subtitling/broadcast usage. 2.2 WEB LICENSE A Web License permits the use of the Font Software on websites via CSS @font-face embedding. The license is limited to the number of monthly pageviews agreed upon at the time of purchase; The fonts must be self-hosted and securely embedded; Fonts must not be accessible or installable by end users. Prohibited Uses: Installation on devices, usage in mobile apps, ePubs, or broadcast media.
2.3 EPUB LICENSE
An ePub License permits embedding the Font Software in electronic publications such as: eBooks (ePub, Kindle format, etc.); Digital magazines or periodicals; Interactive PDFs intended for digital distribution. This license is limited to the number of titles specified in your purchase agreement. Prohibited Uses: Desktop installation, web embedding, app embedding, or video/broadcast usage.
2.4 APP LICENSE
An App License allows embedding the Font Software into mobile or desktop applications. Valid for a single app title and platform (iOS, Android, Windows, etc.), unless otherwise specified; Fonts must be embedded in a way that prevents extraction or reuse; Covers distribution through app stores and private deployment. Prohibited Uses: Web or desktop use outside the app, or embedding in publications or broadcast media.
2.5 BROADCAST LICENSE
A Broadcast License permits the use of the Font Software in: TV commercials, films, streaming content, YouTube videos, or other video media; Subtitling or titling for video or motion graphics projects. This license is scoped based on usage duration, geographic region, and media type, as agreed upon at the time of purchase. Prohibited Uses: Installation on devices, web/app/ePub embedding unless those licenses are also obtained.
3. RESTRICTIONS
Unless explicitly granted, you may not: Modify, reverse-engineer, convert, or repackage the Font Software; Share or distribute the Font Software to third parties; Use the Font Software beyond the scope of your purchased license type; Use the Font Software in a manner that allows others to access or extract the font files.
4. OWNERSHIP
The Font Software is licensed, not sold. Manchester Type retains all right, title, and interest in and to the Font Software, including all intellectual property rights. All licenses are non-transferable, and are only granted to the named Licensee at point of entering into this EULA. This means you may NOT transfer or sub-license the license (and the respective Licensed IP) to any other parties and / or clients and / or affiliates and / or entities and / or collaborators. Any additional party / parties utilising the Licensed IP must license appropriately before installing or using any Licensed IP. Manchester Type allows users to purchase a licence to use Licensed IP on behalf of clients, collaborators, businesses and affiliates, but each entity must have their own license under the required usage and tiers.
5. TERMINATION
This Agreement is effective until terminated. Manchester Type may terminate this license immediately if you breach any of the terms. Upon termination, you must destroy all copies of the Font Software.
6. DISCLAIMER OF WARRANTY
The Font Software is provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or merchantability. Although Manchester Type has taken reasonable steps to ensure the Font Software contains no viruses or malware, in no circumstance what-so- ever does Manchester Type take responsibility for damage caused to a user’s hardware, software or a loss of income that may have occurred as a result. All Font Software installed is done so at the Licensee’s risk and Manchester Type, will NOT be held responsible. The Licensee acknowledges that the Font Software has not been developed to meet the individual needs or requirements of the Licensee, including in particular cyber security requirements, and it is therefore the Licensee’s responsibility to ensure the Font Software meets its requirements.
7. LIMITATION OF LIABILITY
In no event shall Manchester Type be liable for any damages arising from the use or inability to use the Font Software, even if Manchester Type has been advised of the possibility of such damages.
8. GOVERNING LAW
This agreement and all relations, disputes, claims and other matters arising hereunder (including non-contractual disputes or claims) shall be governed exclusively by, and construed exclusively in accordance with, the laws of England and Wales, without regard to its conflicts of law provisions. The courts located in England and Wales shall have exclusive jurisdiction to adjudicate any dispute or claim arising out of or relating to this agreement (including non-contractual disputes or claims). Each party hereby consents to the jurisdiction of such courts and agrees NOT to assert the defenses of lack of personal jurisdiction, improper venue or forum non conveniens in any such action brought under such court.
9. FEES
Upon full payment of the appropriate licence fee received by Manchester Type, you will become a licensed user. All fees / costs will NOT include the following — gross receipts, excise, import, export, value added or similar taxes. The Licensee is responsible for paying any applicable and / or additional fees or costs in addition to the licence fee.
10. REFUNDS
Manchester Type DOES NOT give refunds, all sales are final, unless proven that the files are defective, after a period of exhaustive technical support and evaluation.
